Welcome to PipelinePal. By accessing or using our website and client dashboard service, you agree to be bound by these Terms of Use.
1. Acceptance of Terms
PipelinePal ("Company", "we", "us", "our") provides a visual client management platform (the "Service") to solopreneurs, freelancers, consultants, and small business owners. These Terms of Use ("Terms") govern your access to and use of the Service, including any content, features, and functionality offered on or through https://pipelinepal.io (the "Site").
By creating an account, visiting the Site, or using the Service, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using PipelinePal, you represent and warrant that you meet this age requirement and have the full legal capacity to enter into a binding agreement. Use of the Service is void where prohibited by law.
3. Account Registration & Security
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately if you suspect unauthorized access. PipelinePal is not liable for any loss or damage arising from your failure to protect your account.
4. Free Plan & Paid Subscriptions
PipelinePal offers a free tier that allows you to manage up to 10 active clients at no cost. After exceeding the free limit or choosing a paid plan, subscription fees apply. All fees are clearly presented on our pricing page and may be modified from time to time with prior notice. Subscriptions auto-renew unless canceled before the renewal date. Refunds are handled according to our refund policy (if any). You are responsible for all taxes associated with your purchase.
We reserve the right to change our pricing or introduce new fees at any time, with reasonable notice provided via email or through the Service.
5. Use of Service – Acceptable Use Policy
You agree to use PipelinePal only for lawful purposes and in compliance with these Terms. You must not:
- Use the Service to store, transmit, or process any illegal content, including material that infringes intellectual property rights or violates privacy laws.
- Reverse engineer, decompile, or attempt to extract the source code of our software.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing viruses, malware, or harmful code.
- Access or search the Service by any means other than our publicly supported interfaces (e.g., scraping, crawling, or using bots without permission).
- Use PipelinePal to harass, abuse, or harm others, or to send unsolicited communications (spam).
Violation of these rules may result in immediate suspension or termination of your account.
6. Intellectual Property Rights
The Service, including its code, design, layout, graphics, logos, and text (excluding user-provided data), is the exclusive property of PipelinePal. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations. You may not copy, modify, distribute, sell, or lease any part of our Service without written consent. All trademarks, service marks, and trade names appearing on PipelinePal are our property or the property of their respective owners.
7. User Data & Privacy
Your client information, notes, and any other data you submit to PipelinePal ("User Data") remains yours. We process User Data only to provide and improve the Service, in accordance with our Privacy Policy (incorporated by reference). By using the Service, you consent to our collection and use of personal information as described in the Privacy Policy. You are responsible for complying with any applicable data protection laws (including GDPR, CCPA) regarding the data you input.
8. Termination
Either party may terminate your account at any time for any reason. You may delete your account via your dashboard settings. We may suspend or terminate your access immediately without notice if you breach these Terms. Upon termination, your right to use the Service stops immediately, and we may delete your User Data after a reasonable period, unless legally required to retain it. Provisions that by their nature should survive termination (e.g., IP ownership, warranty disclaimers, limitation of liability) will survive.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPELINEPAL AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $50 IF YOU HAVE NOT PAID ANY FEES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless PipelinePal from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and judgment on the award may be entered in any court having jurisdiction. You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. If you are a resident of the European Union, you may have additional rights under local law.
13. Modifications to Terms
We may revise these Terms from time to time. The most current version will always be posted on this page, with the effective date noted at the top. If changes are material, we will notify you via email or through a notice on our Site. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Service.
